ACCEPTANCE OF PIVOTAL SYSTEMS LTD TERMS

Welcome to Pivotal Systems Ltd Finance Services, owned and operated by Pivotal Systems Ltd. Pivotal Systems Ltd provides these Finance Services to you subject to the Pivotal Systems Ltd Terms of Service ("TOS") and these Terms & Conditions which are in addition to and supplements the TOS, both or either of which may be updated by Pivotal Systems Ltd from time to time. PAYMENT TERMS

The credit card that you provide will automatically and immediately be billed for the Finance Services package you request. All currency references are in Pounds Sterling or US Dolloars. Where no monetary unit is specified, assume the amount is Pounds Sterling. Please note, unless otherwise noticed, payment for Finance Services is billed on a monthly or yearly basis and is non-refundable. If you cancel your Finance Services package before the end of the current monthly term, your cancellation will take effect at the end of the current monthly term. If Pivotal Systems can no longer provide your selected Finance Services package, no refund shall be given for any remaining subscription period. If your credit card is invalid for any reason, your Finance Services will be cancelled immediately.

COLLECTION OF INFORMATION

Pivotal Systems Ltd expressly reserves the right to collect and maintain information submitted by you to Pivotal Systems Ltd. Notwithstanding anything to the contrary in Pivotal Systems Ltd's TOS or Privacy Policy, this information will be stored and maintained by Pivotal Systems Ltd for at least three (3) calendar years. Information may also be disclosed by Pivotal Systems Ltd in accordance with Pivotal Systems Ltd's Privacy Policy. PIVOTAL SYSTEMS LTD'S RESERVATION OF RIGHTS

Pivotal Systems Ltd expressly reserves the right to immediately modify, suspend or terminate your account and refuse current or future use of any Pivotal Systems Ltd service, including your Finance Services, if Pivotal Systems Ltd, in its sole discretion believes you have: (i) violated or tried to violate the rights of others; or (ii) have acted inconsistently with the spirit or letter of the TOS or these Terms and Conditions or have violated any third party agreements in connection with the Finance Services, including, without limitation, the Subscriber Agreements.

INVALIDITY OF SPECIFIC TERMS

If any provision of these Terms & Conditions or any document incorporated by reference is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of such documents remain in full force and effect.
